1. Welcome to Nextdev

Nextdev is a developer matchmaking platform that connects pre-vetted engineers with companies looking to hire. We screen engineers through our Cursor IDE extension and MCP integrations, then match qualified candidates with client opportunities. By using our services, you agree to these Terms.

2. How Our Platform Works

For Engineers:

• Install our Cursor extension to access projects and assessments
• Complete technical evaluations to demonstrate your skills
• Get matched with client opportunities based on your profile
• Connect with clients through our platform

For Clients:

• Submit your hiring requirements and preferences
• Receive pre-vetted engineer profiles that match your needs
• Connect with candidates directly
• Hire engineers on your terms

3. Cursor Extension & MCP

Our Cursor extension and MCP (Model Context Protocol) integrations are tools for candidate assessment and project discovery. By using these tools, you agree that we may collect assessment data, usage patterns, and performance metrics to evaluate skills and improve our matching algorithms. We do not access your personal code or repositories outside of explicit assessment contexts.

4. Your Account

You need an account to use Nextdev. Keep your login credentials secure—you're responsible for activity under your account. Provide accurate information in your profile. Don't share accounts or misrepresent your identity or qualifications.

5. Engineer Responsibilities

Engineers must accurately represent their skills and experience. Complete assessments honestly without unauthorized assistance. Respond professionally to client inquiries. Honor commitments made through the platform. We may remove engineers who misrepresent qualifications or behave unprofessionally.

6. Client Responsibilities

Clients must provide accurate job requirements and company information. Treat candidates professionally and respond in reasonable timeframes. Honor the terms of any hiring agreements made through introductions. Do not circumvent the platform to avoid applicable fees.

7. Fees & Payments

Our fee structure may include placement fees, subscription fees, or other charges. Current pricing will be communicated before any charges apply. Fees are non-refundable unless otherwise specified. We reserve the right to modify pricing with reasonable notice. Payment terms will be outlined in separate agreements as applicable.

8. 7-Day Money-Back Guarantee

Nextdev offers a 7-day money-back guarantee for new client engagements, subject to the following strict conditions:

• Eligibility: The guarantee applies only to the first 7 calendar days from the engineer's official start date as documented by Nextdev.
• Request Deadline: Refund requests must be submitted in writing to team@joinnextdev.com within the 7-day period. Requests received after this window are not eligible.
• Documentation Required: Clients must provide specific, documented reasons for dissatisfaction, including evidence of performance issues or unmet requirements.
• Good Faith Requirement: The guarantee is void if the client fails to provide reasonable onboarding, clear requirements, or adequate working conditions to the engineer.
• No Partial Refunds: Refunds are processed as full refunds for amounts paid during the guarantee period only. Fees for work performed after the 7-day period are non-refundable.
• One-Time Use: The money-back guarantee may be used once per client account. Repeated use of the guarantee to avoid payment obligations may result in account termination.
• Rematch Option: As an alternative to a refund, clients may request a replacement engineer at no additional cost. Accepting a rematch waives the right to a refund for that engagement.
• Processing Time: Approved refunds will be processed within 14 business days of approval.

Nextdev reserves the right to deny refund requests that appear fraudulent, abusive, or made in bad faith. This guarantee does not apply to disputes arising from scope changes, project cancellations initiated by the client, or issues unrelated to engineer performance.

9. Prohibited Conduct

Don't use Nextdev for illegal purposes. Don't discriminate against candidates or clients. Don't attempt to hack, scrape, or interfere with our systems. Don't spam or harass other users. Don't misrepresent your identity or qualifications. Don't share confidential information obtained through the platform. We may terminate accounts that violate these rules.

10. Intellectual Property

The Nextdev platform, extension, and related technology belong to us. Your profile content and assessment submissions remain yours, but you grant us license to use them for platform operations and matching purposes. Don't copy or reverse-engineer our technology.

11. Privacy

We collect and process data as described in our Privacy Policy. By using Nextdev, you consent to our data practices. Engineer profiles may be shared with potential clients as part of the matching process.

12. Disclaimers

Nextdev is provided "as is" without warranties. We don't guarantee successful placements, candidate quality, or job outcomes. We're a matchmaking platform—final hiring decisions and employment terms are between engineers and clients. We're not responsible for disputes arising from those relationships.

13. Limitation of Liability

Our liability is limited to amounts you've paid us in the past 12 months. We're not liable for indirect, incidental, or consequential damages including lost profits, failed hires, or business interruption. This is standard legal protection—we're a startup doing our best.

14. Indemnification

You agree to indemnify Nextdev against claims arising from your use of the platform, your content, or your violation of these terms. If you misrepresent qualifications or engage in illegal activity and we face consequences, that's on you.

15. Changes to Terms

We may update these Terms as our platform evolves. Material changes will be communicated via email or platform notification. Continued use after changes constitutes acceptance. Check back periodically.

16. Termination

You can stop using Nextdev anytime. We may suspend or terminate accounts that violate these Terms. Upon termination, your right to use the platform ends, but certain provisions survive (liability, indemnification, etc.).

17. Governing Law

These Terms are governed by Delaware law. Disputes will be resolved in Delaware courts. But seriously, email us first—we're reasonable and lawsuits are expensive for everyone.
